Amendment of the Alipay Europe Merchant Wallet Terms and Conditions
Dear Customer,
We would like to inform you that we will introduce changes to the Alipay Europe Merchant Wallet Terms and Conditions (the “Basic Terms”) and Alipay Europe Merchant Wallet Terms and Conditions – Supplementary Terms and Conditions for Alibaba Payment Service (Advanced Service) (the “Supplementary Terms”, collectively, the “Terms and Conditions”) governing the use of your Alipay Wallet and Alipay Wallet Services.
The new amended version of the Terms and Conditions will come into force on 22th September 2025 and will govern our business relationship from that date onwards.
The changes made to the Terms and Conditions are summarised below:
- The provisions pursuant to which you agree to opt-out of certain provisions of the Luxembourg law of 10 November 2009 on payment services, as amended, have been clarified (see clause 2.3 of the Basic Terms and clause 2.3 of the Supplementary Terms);
- We have clarified that there are circumstances where you may receive funds into your Alipay Wallet from Alibaba Platforms in accordance with separate agreements entered into with the relevant Alibaba Platform, in addition to settlement funds for goods and services that you have sold on the Alibaba Platform (see Schedule A of the Basic Terms);
- We have added a new functionality whereby you can top up the balance in your Alipay Wallet by means of wire transfer through your designated bank, financial institution, payment service provider (see Schedule C (Top Up Service) of the Basic Terms;
- We have deleted reference to an EU online dispute resolution platform which was discontinued as of 20 July 2025; however, this deletion does not impact or restrict your right to submit a complaint or commence legal proceedings in accordance with Paragraph 11, Schedule D (General Terms and Conditions) of the Basic Terms;
- We have included a hyperlink to our latest online prohibited and restricted sales list (see Paragraph 2, Schedule E of the Basic Terms); and
- We have also made non-material editorial revisions (i.e., grammatical corrections, stylistic improvements, restructuring, and updates to cross-referencing) throughout the Terms and Conditions (please refer to the enclosed new amended versions of the Terms and Conditions).
The new amended version of the Terms and Conditions containing the changes are enclosed herewith.
In accordance with clause 3.3 of the Basic Terms, we do not deem these changes to be adverse to you; therefore, the amendments shall take immediate effect.
