ALIPAY PARTNER SERVICE PORTAL (MTO PORTAL)
In addition to the general terms and conditions applicable to the Alipay Global Open Platform, (i) the Money Remittance Agreement signed between you and any affiliate of Alipay SG (“MRA”), and (ii) the following terms and conditions, shall apply to your use of the Alipay Partner Service Portal (“MTO Portal”):
1. AGREEMENT TO TERMS
1.1 By choosing to register via your account on the website owned by Alipay.com Co., or by logging in to your account using the username and password provided by an administrator, you hereby (i) accept the terms and conditions applicable to the Alipay Global Open Platform, including these terms and conditions applicable to the MTO Portal, and (ii) acknowledge and authorize our collection and use of the account information (which may include personal information such as the real names, dates of birth, identification card or passport numbers, residential addresses, email addresses, phone numbers, etc. of company officers, representatives, shareholders and board directors, etc. (“Personal Information”)) that you provide to us or that you have previously provided to another Affiliate of Alipay SG.
1. INSTRUCTIONS
1.1 You are responsible for ensuring that instructions provided on your behalf on the MTO Portal are properly authorised, genuine, accurate, complete and correct. In the event any instructions provided via your login account are unauthorised, fraudulent, inaccurate, incomplete or incorrect, we shall not be liable for any loss you may incur as a result.
1.2 You should ensure that you have sufficient pre-funding balance to cover the full amount of any foreign currency conversion that you wish to make. If you do not have sufficient pre-funding balance, or if you exceed applicable limits pursuant to applicable laws, we reserve the right to decline to process the instruction and/or to regard the instruction as a failed transaction and charge applicable break fees and administrative fees.
1.3 You acknowledge that foreign exchange conversions may be subject to measures which affect their convertibility and/or liquidity and therefore agree that there is no obligation for the MTO Portal to provide the real time foreign exchange conversion rates for specific currency pairs. However, if such rate is provided, save that such rate shall be provided in accordance with the terms of the MRA, we shall be under no obligation to ensure that such quote is in line with market as then prevailing. Any real time foreign exchange conversion rate provided on the MTO Portal shall only be valid for 1 minute.
1.4 You acknowledge and agree that (i) foreign exchange conversions may only be carried out on the MTO Portal at available periods provided on the MTO Portal, which may be updated from time to time without prior notice, and (ii) foreign exchange conversions will only be updated after reasonable processing time, usually not more than 90 minutes and may only be viewed on the virtual account inquiry function after such processing period.
1.5 In addition and without prejudice to any other right or remedy of Alipay SG and its affiliates, including without limitation to the indemnity in the general terms and conditions applicable to the Alipay Global Open Platform, you agree to indemnify Alipay SG and our affiliates and their respective employees, directors, officers, agents and representatives and to hold them harmless, from any and all losses, damages, actions, claims and liabilities (including legal costs on a full indemnity basis) which may arise, directly or indirectly, from Alipay SG and/or its affiliates acting upon, in good faith, any instruction purportedly given by you, notwithstanding that these instructions may not be authorised, genuine, accurate, complete or correct.
1.6 You are prohibited to use, store, reproduce, display, modify, sell, publish, transmit and distribute, or commercially exploit any of the information you have obtained from the MTO Portal other than for your own internal purposes (that does not involve commercial exploitation).
